Terms of Service

Please read these Terms of Service ("Terms") carefully before accessing or using our Software-as-a-Service (SaaS) platform ("the Service") for our different software products. These Terms govern your access to and use of the Service provided by Zirasales Limited ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you may not access or use the Service.

Use of the Service

1.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By accessing or using the Service, you represent and warrant that you meet these eligibility requirements.

1.2 Account Registration

You may need to create an account to access and use certain features of the Service. When registering, you agree to provide accurate and complete information and to keep your account credentials confidential. You are responsible for all activities that occur under your account. If you become aware of any unauthorized use of your account, you must notify us immediately.

1.3 Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with applicable laws, regulations, and these Terms. You are solely responsible for your use of the Service and any content you generate or transmit through the Service. Prohibited activities include but are not limited to:

  3. Interfering with or disrupting the Service or its associated networks or servers

2.1 Ownership

The Service, including its software, technology, design, and content, is owned or licensed by us and protected by intellectual property laws. You acknowledge that all rights, title, and interest in and to the Service are and will remain our exclusive property.

2.2 License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes.

2.3 Restrictions

You may not:

  1. Copy, modify, distribute, or create derivative works based on the Service
  2. Reverse engineer, decompile, or disassemble any portion of the Service
  3. Remove, alter, or obscure any copyright, trademark, or other proprietary notices

User Content

3.1 User Content Ownership

You retain ownership of any content you submit, upload, or display through the Service ("User Content"). However, by providing User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service.

3.2 User Content Restrictions

You are solely responsible for your User Content and the consequences of sharing it through the Service. You represent and warrant that you have all necessary rights to grant the license described in Section 3.1 and that your User Content does not infringe or violate the rights of any third party or violate any applicable laws or regulations.

Data Privacy

We collect, use, and protect your personal information in accordance with our Privacy Policy. By using the Service, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.

Payments and Subscriptions

5.1 Fees

Access to and use of the Service may be subject to payment of fees. You agree to pay all applicable fees as specified in the pricing or subscription plans provided.

5.2 Subscriptions

If you subscribe to the Service on a recurring basis, your subscription will automatically renew at the end of each subscription period unless you cancel it in accordance with the cancellation process specified in the Service.

Termination

We may suspend or terminate your access to the Service, in whole or in part, without prior notice if we believe that you have violated these Terms or applicable laws. Upon termination, you will no longer have access to the Service and any data associated with your account may be deleted.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Federal Republic of Nigeria. Any disputes arising out of or in connection with these Terms shall be resolved through arbitration or through the courts of Federal Republic of Nigeria, as determined by us.

Modifications to the Terms

We reserve the right to modify or update these Terms at any time without prior notice. It is your responsibility to review these Terms periodically for any changes. Your continued use of the Service after the modifications constitutes your acceptance of the revised Terms.
